The Board of Directors of Barranco Resources N.L. (“the Company”) has formally adopted a Corporate Governance Statement which is designed to encourage Directors to focus their attention on the highest standards of accountability, management and ethical conduct.

The Board recognises the need for the highest standards of corporate behaviour and accountability. The Company has considered the ASX Corporate Governance Council’s Principles of Good Corporate Governance and Best Practice Recommendations to determine an appropriate system of control and accountability to best fit its business and operations commensurate with these guidelines.

The Corporate Governance Statement addresses the ASX Principles of Good Corporate Governance and Best Practice Recommendations and takes into account factors such as the small size of the Company and the Board, resources available and the activities of the Company. The specific issues of Management and Oversight, Structure of the Board, Ethical and Responsible Decision Making, Integrity in Financial Reporting, Timely and Balanced Disclosure, Shareholder Rights, Risk Management, Performance Evaluation of the Board, Remuneration and Stakeholders Interests are addressed.

The Company has also adopted a Code of Ethics, Securities Transaction Policy and Continuous Disclosure Policy which are appended to the Corporate Governance Statement.

The Company seeks to follow the best practice recommendations for listed companies to the extent that it is reasonably able. Where the Company’s corporate governance practices depart from the Best Practice Recommendations, the Board has detailed full disclosure of the nature of, and the reason for, the adoption of its own practice.

As the Company’s size, Board size, available resources and activities increase, Best Practice Recommendations that the Company has departed from will be given further consideration for implementation.
